These Terms & Conditions apply to services provided by VINCENTS, including its present and future divisions, services, products, projects, classes, and activities.
By making a booking, placing an order, enrolling in a class, approving a quotation, making a payment, or otherwise engaging VINCENTS for a service, the Client acknowledges that they have read, understood, and agreed to these Terms.
VINCENTS is a growing brand founded and operated by Paul Ebenezer Vincent. VINCENTS currently provides services through areas including:
Event Services
Home Renovation
Passion Music School
VINCENTS may introduce additional services, products, divisions, or business activities in the future.
Initial enquiries, discussions, estimates, and proposals do not constitute a confirmed booking unless otherwise stated in writing.
A service becomes confirmed when the Client accepts the quotation/proposal and completes the required booking or advance payment, or when VINCENTS otherwise confirms the booking in writing.
The scope of work, services, quantities, dates, timings, locations, and prices will be based on the approved quotation, invoice, booking confirmation, or written communication.
Any additional work or services requested after confirmation may result in additional charges.
Prices provided by VINCENTS are based on the requirements known at the time of quotation.
A quotation may have a validity period, which will be stated where applicable.
If the Client changes the requirements, venue, date, quantity, duration, materials, design, or scope of work, the price may be revised accordingly.
Any additional charges should, wherever reasonably possible, be communicated to the Client before the additional work or service is carried out.
VINCENTS will make reasonable efforts to maintain the agreed price once a booking is confirmed, except where changes are requested by the Client or circumstances outside VINCENTS' reasonable control materially affect the cost.
The payment schedule will be specified in the applicable quotation, invoice, or booking confirmation.
An advance or booking payment may be required to confirm a service and reserve the required date, resources, materials, equipment, personnel, or arrangements.
Once a date or resources have been specifically reserved for the Client, cancellation or postponement may result in reasonable deductions or non-refundable costs, depending on the circumstances.
The remaining balance must be paid according to the agreed payment schedule.
VINCENTS will not unreasonably demand additional payment beyond the agreed scope without informing the Client of the reason and applicable additional cost.
If payment is delayed, VINCENTS may temporarily pause or withhold further work or delivery until the outstanding amount is settled.
Cancellation requests should be communicated to VINCENTS as early as possible.
Refunds, if applicable, will depend on the nature of the service, work already completed, expenses incurred, third-party commitments, materials purchased, and the time remaining before the scheduled service.
Any amount already paid to third-party suppliers or incurred specifically for the Client may not be recoverable.
VINCENTS will make reasonable efforts to minimise losses for both parties when a cancellation occurs.
Where a refund is applicable, the refundable amount will be communicated to the Client and processed within a reasonable period.
VINCENTS will not retain an amount that is clearly unrelated to actual work, committed expenses, or reasonable cancellation consequences.
Requests to change the date should be made as early as possible.
VINCENTS will make reasonable efforts to accommodate a new date, subject to availability.
If the new date requires additional costs from venues, suppliers, transportation, materials, labour, equipment, or other third parties, such costs may be charged to the Client after prior communication.
If the requested new date is unavailable, the parties may discuss an alternative arrangement or cancellation according to these Terms.
The Client agrees to:
Provide accurate information and requirements.
Provide necessary approvals, instructions, measurements, documents, access, and permissions where required.
Inform VINCENTS of any relevant restrictions, venue requirements, timings, safety requirements, or special circumstances.
Make payments within the agreed time.
Treat VINCENTS personnel, partners, suppliers, and service providers respectfully.
Ensure that information provided by the Client does not knowingly infringe the rights of another person or organisation.
Delays caused by missing information, approvals, access, or Client decisions may affect the agreed timeline.
For Event Services, including birthdays, weddings, engagements, school programmes, college programmes, church programmes, corporate events, and other occasions:
The exact services provided will be based on the approved quotation.
Event timings, venue access, setup time, programme changes, and delays may affect the execution of services.
The Client is responsible for obtaining required venue permissions unless otherwise agreed.
Where third-party vendors or specialists are used, VINCENTS will make reasonable efforts to coordinate them appropriately.
VINCENTS may recommend substitutions where a particular supplier, equipment item, material, or resource becomes unavailable, provided the replacement is reasonably suitable for the agreed requirement.
Outdoor services may be affected by weather or other environmental conditions. Reasonable alternative arrangements may be discussed where possible.
VINCENTS is not responsible for delays caused by venue restrictions, guests, organisers, traffic, weather, government restrictions, power failures, or other circumstances outside its reasonable control.
Any additional hours, equipment, services, transportation, or changes requested during the event may attract additional charges after communication with the Client where reasonably possible.
Where photography, videography, editing, design, or other creative services are included:
The agreed deliverables will be based on the quotation or service confirmation.
Delivery timelines may vary depending on the nature and volume of the work.
The Client should communicate any specific requirements before the service wherever possible.
VINCENTS may use photographs, videos, designs, or completed work for portfolio, promotional, or marketing purposes only where appropriate and subject to any privacy or usage agreement made with the Client.
If the Client does not wish their event, property, project, or images to be used for promotional purposes, they should inform VINCENTS in writing.
The Client is expected to take reasonable care of equipment, materials, or property provided by VINCENTS or its service partners while under the Client's responsibility.
The Client may be responsible for repair or replacement costs resulting from intentional damage, misuse, negligence, or unauthorised handling.
Normal wear and reasonable operational issues will not be treated as Client damage.
VINCENTS will make reasonable efforts to ensure that equipment supplied is suitable and functional for the agreed purpose.
For renovation, construction, repair, or improvement work:
The scope of work will be based on the approved quotation.
Existing structural conditions, hidden damage, concealed wiring, plumbing problems, moisture, termites, or other conditions that could not reasonably be identified before work begins may require additional work and cost.
Any significant additional work should be discussed with the Client before proceeding wherever reasonably possible.
The Client is responsible for providing reasonable access to the property during agreed working hours.
The Client should remove or protect valuable, fragile, or personal belongings from the work area unless otherwise agreed.
Work timelines may change due to material availability, site conditions, weather, approvals, labour availability, or other circumstances beyond reasonable control.
VINCENTS will make reasonable efforts to complete the agreed work with proper care and workmanship.
For music classes or music-learning services:
Class schedules, fees, duration, and mode of learning will be communicated at the time of enrolment.
Monthly or periodic fees may be payable according to the applicable fee structure.
A student's absence does not automatically cancel the applicable fee or reserve a refund unless otherwise agreed.
Students or parents/guardians should inform VINCENTS in advance regarding discontinuation or major schedule changes.
VINCENTS will make reasonable efforts to provide a supportive learning environment.
Progress may vary between students depending on practice, attendance, participation, and individual learning ability.
Course structures, teaching methods, schedules, and available programmes may be updated from time to time.
VINCENTS may work with external suppliers, contractors, artists, technicians, photographers, caterers, transport providers, rental companies, or other service partners.
VINCENTS will make reasonable efforts to select and coordinate suitable service partners.
Where a third-party provider is independently responsible for a particular service, delays or failures caused solely by that provider may be outside VINCENTS' direct control.
If a third-party provider becomes unavailable, VINCENTS may make reasonable efforts to arrange a suitable alternative.
Any material change in cost or service caused by such substitution will be communicated to the Client where reasonably possible.
VINCENTS will not be considered in breach of its obligations where performance is prevented or materially affected by circumstances beyond reasonable control, including but not limited to:
Natural disasters
Severe weather
Fire
Accident
Government restrictions
Public emergencies
Strikes or transportation disruption
Power or infrastructure failure
Venue closure
Serious supplier failure
Other events reasonably beyond VINCENTS' control
In such situations, VINCENTS and the Client will make reasonable efforts to find a practical alternative, reschedule the service, modify the scope, or otherwise minimise the impact on both parties.
VINCENTS will make reasonable efforts to provide services in accordance with the agreed scope and professional standards appropriate to the service.
The Client understands that certain services involve creative judgement, site conditions, third-party providers, or factors outside VINCENTS' direct control.
Reference images, examples, designs, estimates, and demonstrations may be used for guidance and may not always be reproduced exactly due to availability, materials, environment, technical limitations, or other practical factors.
VINCENTS will communicate material issues that become known during the work and will seek reasonable solutions.
VINCENTS encourages Clients to raise concerns as soon as possible so that issues can be addressed promptly.
Complaints should preferably be made through the official VINCENTS contact channels, including email or WhatsApp.
Both parties agree to communicate respectfully and make reasonable efforts to resolve disputes before taking further action.
Where a genuine service issue is identified, VINCENTS will consider reasonable corrective action where practical.
VINCENTS is committed to maintaining respectful and safe working relationships.
VINCENTS reserves the right to suspend or terminate a service where there is serious misconduct, threats, harassment, abusive behaviour, unsafe conduct, illegal activity, or repeated unreasonable behaviour toward VINCENTS personnel, partners, or service providers.
Where reasonably possible, the Client will be informed of the issue and given an opportunity to resolve it before termination, except where immediate action is necessary for safety or legal reasons.
Unless otherwise agreed, original designs, documents, photographs, videos, written materials, branding materials, teaching materials, and other creative work produced by VINCENTS remain subject to applicable intellectual property rights.
The Client may use completed materials supplied to them for their intended personal, event, or business purpose, subject to the agreed service.
The Client must not reproduce, sell, modify, distribute, or commercially exploit VINCENTS-owned materials beyond the agreed purpose without appropriate permission.
Materials supplied by the Client remain the Client's responsibility and ownership, subject to applicable rights.
VINCENTS may collect and use information reasonably necessary to provide services, communicate with Clients, process bookings, maintain records, and fulfil business requirements.
Personal information will be handled with reasonable care and used for legitimate business purposes.
VINCENTS will not knowingly sell Client personal information to unrelated third parties.
Information may be shared with relevant service providers where reasonably necessary to fulfil the Client's requested service.
VINCENTS will take reasonable care in providing its services.
VINCENTS will not be responsible for losses, delays, or failures resulting from circumstances outside its reasonable control.
Where VINCENTS is responsible for a genuine service failure, the parties will first seek a reasonable solution, which may include correction, replacement, rescheduling, or an appropriate refund or adjustment depending on the circumstances.
Nothing in these Terms is intended to remove or limit any rights or protections that cannot legally be excluded under applicable law.
Important booking details, changes, approvals, and additional charges should preferably be confirmed in writing.
Email, WhatsApp, quotation, invoice, booking confirmation, or other written communication may be used to record agreed changes.
In case of conflicting information, the most recent mutually confirmed written agreement will generally apply.
VINCENTS may update these Terms from time to time to reflect changes in its services, business operations, or applicable requirements.
The version applicable to a confirmed booking will generally be the version accepted or provided at the time of that booking, unless the parties subsequently agree otherwise.
These Terms shall be governed by the applicable laws of India.
Where a dispute cannot be resolved through reasonable discussion, the parties may pursue the remedies available under applicable law.
By making a payment, confirming a booking, approving a quotation, enrolling in a programme, placing an order, or engaging VINCENTS for services, the Client confirms that they have had a reasonable opportunity to review these Terms and agree to be bound by the applicable provisions.
Where a specific written agreement, quotation, invoice, or service confirmation contains additional terms, those terms will apply to the extent they are specifically agreed between VINCENTS and the Client.
